About this role

Our Global General Counsel is responsible for formulating and implementing the overall Legal strategy for Vanderlande Industries Holding B.V. and Vanderlande Industries B.V. in support of the long term goals and objectives. Our Global General Counsel provides advice and counsel to the Board of Directors and Senior Executives on material legal and business matters potentially impacting the organization. The jobholder of this position applies both seasoned business and legal judgment while serving as a senior member of the Executive Leadership team. This position also incorporates the responsibility of organizing Corporate Secretary activities for Vanderlande and its Supervisory Board. The Global General Counsel will provide oversight on matters of organizational governance and compliance.

The jobholder of this position will lead and develop the legal function in the most effective way, with teams in the Netherlands (Veghel), USA (Marietta, GA) and multiple satellite locations, to ensure Vanderlande’s business and legal goals and objectives are attained

Job Responsibilities

  • Serve as the Global General Counsel for Vanderlande Industries Holding B.V. and Vanderlande Industries B.V. and provide the company with legal advice on a wide range of issues, and counsel the Executive Team regarding the legal impact of business decisions and upcoming regulations.
  • Ensure that the Global Legal department delivers high performance, adapts to best practices and technology, recruits and retains the best talented team members, and create an exciting and fun work environment for the team members to part of.
  • Manage (internal) stakeholders, including Executives, Compliance, Finance, Treasury, Tax teams and other departments, to address legal issues and provide timely advice, and collaborate with company partners and clients when needed.
  • Ensure business stakeholders receive the right level of support in structuring, negotiating, draft and closing complex commercial contracts and strategic partnership deals to ensure both business and legal objectives are met. Additionally, ensures compliance with Contract Management principles.
  • Responsible for identifying and mitigation legal and compliance risks. Assess potential liabilities and develop strategies to mitigate risks, organize Vanderlande’s Legal representation and protect the company’s interests and resolve disputes effectively.
  • Institute programs and policies to protect Vanderlande’s Intellectual Property and Licensing and support Business Units on these topics when needed
  • Advise the business in times of crisis, such as product recalls, accidents, and issues with media attention. Responsible to coordinate response(s) and communications.
  • Establishes and enforces a Code of Ethics and a Compliance Program to ensure ethical conduct and prevent unethical or illegal behavior.
  • Monitor changes in relevant laws and regulations which may impact operations, such as privacy, security, and safety to ensure Regulatory Compliance. In addition, ensure the execution of regular assessments to identify potential risks, as well as the design and roll-out of a Compliance Roadmap and accompanying Program(s) to address these risks.
  • Advise the Board of Directors and Executive Team on Corporate Governance, including board meetings, bylaws, and Governance policies. Ensure Corporate Secretary activities for Vanderlande’s Supervisory Board are compliant and organized in the right manner.
  • Maintain legal coordination with shareholders of Vanderlande Industries Holding B.V. and Vanderlande Industries B.V..
  • When needed, advise on employment-related legal matters, including labor laws, discrimination, employment contracts, unions, and employee disputes.
  • Management of due diligence, negotiations, and legal aspects of mergers, acquisitions, and divestitures.

What do we ask from you?

  • Academic degree in the practice of law.
  • At least 10+ years relevant experience in a Global and Dutch Corporate Legal department setting, including management of highly complex transactional and litigation issues, international business issues, and evolving a department or team-members to the next level.
  • At least five years of experience as practicing attorney at a law firm.
  • A Servant Leadership-style to enable and develop our Legal team-members whilst at the same inspiring them to excel every day at Vanderlande.
  • Strong interpersonal skills to manage a wide range of stakeholders as well as the ability to interact with Vanderlande’s employees throughout all levels of the organization.
  • Highly responsible, self-motivated and able to thrive in an energetic, fast-paced and growth focused organization.
  • Exceptional analytical and problem-solving skills with the ability to think strategically and provide sound business advice.
  • Superior Legal acumen complimented by sound business-first judgement.
  • Advanced knowledge of organizational business and financial principles.
  • Excellent communication skills – written, verbal and interpersonal (Dutch and English proficiency mandatory )

Travel

This position requires domestic and international travel, typically 5 to 10% of the time.
