M&A Legal Counsel.

About the team

The M&A team is primarily responsible for managing the full acquisition pipeline from initial scouting to completion and integration. Additionally, the team is supporting corporate finance projects, occasional divestments, and other special board projects.

What you will be doing in this role

As M&A Legal Counsel you will be involved in M&A transactions throughout the whole process until completion and proceed with post-closing work. You prepare the pre-deal documentation, take part in the due diligence processes, review/create the transaction documentation, and manage the procedures. In addition to M&A transactions, you will be involved in different legal workflows, such as supporting the internal teams related to various legal topics and take part in legal related work on financial transactions of Azerion. As a member of the M&A team, you report to Vice President M&A.

Your responsibilities:

Delivery of legally and commercially sound advice to M&A team and management of the group on mergers, acquisitions, divestments, restructurings, takeovers, buy-ins, buyouts, joint ventures and various types of investments and taking part in execution of such projects

Actively participate in buy-side/sell-side due diligence processes and documentation of findings

Present findings to VP M&A, Chief Investment Officer and management board members

Draft, negotiate, and review a wide variety of corporate contracts, including share purchase agreements, ancillary documents, disclosure letters, engagement letters, confidentiality agreements, offering memoranda, shareholders agreements, bond terms&conditions, security agreements, factoring agreements and joint venture agreements.

Provide guidance and support on various corporate policies and corporate governance matters

Be the go-to person for other internal teams (such as Legal, Finance, Tax and others) in connection with further legal aspects of the projects you have taken part in

Support the M&A team’s effort to level up processes, workflows, reporting, and analysis standards to the needs and professional standards in line with those of a publicly listed company

Ideal candidate

Degree or equivalent qualification in law, including advanced studies specializing in contract and corporate law

Qualified lawyer with at least 3 years of post-qualified experience (excluding any mandatory or voluntary internship) in an international environment in either;

a law firm or a consultancy company working for external clients as a legal counsel (preferably with experience working for external clients in tech sector)

a tech company working as an in-house legal counsel

Experience on below topics is a plus:

M&A and corporate , involvement in preparation and closing transactions for share/asset purchase deals

Legal due diligence/risk analysis processes for cross-border transactions

Securities/capital markets law knowledge and experience in EU/Dutch market; familiarity with relevant documentation and market practice

Financial law experience, familiarity with loan related legal documentation and processes

Co-ordination of different workflows, internal and external stakeholders

Good understanding on tech sector and financial aspects of M&A deals

Good attention to detail & analytical ability; mindfulness on “preventive law”

Ability work on tight deadlines under pressure, time management skills

High performance and motivation level

Co-operative, team-oriented style

Ability to report complicated legal topics to non-legal professionals in an efficient way

Excellent communication skills in English (both written and oral). Dutch skills are preferred but not essential. Fluency in another main European language is considered a plus.
