We are looking for a Senior Legal Counsel with substantial knowledge and experience in the transaction practice. Your focus will be providing legal support to the Corporate Finance and Equity Capital Markets departments of Investment Banking. Van Lanschot Kempen – Investment Banking offers specialist services including underwriting, placing and advisory services in equity capital market transactions, and advisory services in debt and M&A transactions to corporate and institutional investors in western Europe and the US. The focus sectors are European real estate, life sciences & healthcare, tech & fintech and infrastructure & renewables.

You will be working on transactions in a multidisciplinary and professional setting. Besides the transaction practice you will also advise the business from a broader legal perspective. That includes for example advising on policies (such as policies related to MAD/MAR legislation) or the introduction/review of new/existing products and services of Van Lanschot Kempen - Investment Banking. You have the following responsibilities: Drafting and reviewing confidentiality agreements, engagement letters, underwriting/ placing agreements, legal opinions, comfort letters and other transaction-related documentation. Advising on transactions, with a focus on investment banking transactions, especially in the equity capital markets. Advising on matters of contract law. Advising on all kinds of issues relating to EU Prospectus Regulation, MAD/MAR and generally in the area of financial law related to investment banking services and products. Identifying and anticipating relevant developments in legislation and case law related to investment banking and supporting their implementation. You also act as a direct sparring partner for our colleagues at other departments such as Compliance. You are knowledgeable, you have a solution-oriented mindset, and taking responsibility for your work is a natural part of your approach. This is how we can best describe you as Senior Legal Counsel.

You also have: At least 4 years' relevant work experience as a lawyer and/or in-house counsel. Experience in transactions such as mergers and acquisitions, capital markets and/or debt advisory, either at a law firm, a financial institution or a listed company. Detailed knowledge of contract, financial and securities law. You are practical, solution-oriented and commercially-minded, and are capable of translating legal content into pragmatic solutions. Good knowledge of English, both oral and written. Investing in a more future-oriented, sustainable, and data-driven way with various clients. Both nationally and internationally.
